Customer services agreement

The master terms for platform access and certified engagements. A summary of what the agreement covers — the executed agreement governs.

What this covers

This page summarises the master terms on which Foster Rx Systems Inc., a Delaware corporation with its principal place of business in Annapolis, Maryland (“Foster Rx”, “we”, “us”) provides platform access and certified assessment engagements. It is a plain-language summary for evaluation purposes. The executed agreement, signed by both parties, is the operative document and controls in the event of any difference.

Scope of an engagement

Each engagement is defined by an order or statement of work naming the asset or portfolio in scope, the assessment type, the fee, and the delivery window. Work outside that scope is a new order rather than an expansion of an existing one.

Your material

You retain all rights in material you supply. We use it to perform the engagement and for no other purpose. Retention periods and any de-identified secondary use are set in the order, in writing, before work begins — never assumed.

What we deliver

A certified assessment: a document computed from the record, reviewed and signed by a named reviewer, and verifiable at a public address. Every assessment states its conditions and renders its evidence gaps rather than filling them.

Delivery is to you. Publication or transmission to a third party is your decision and your act. We record every assessment we produce whether or not it is transmitted, so that our calibration is measurable; the record is internal and does not disclose your material.

Corrections and supersession

If an assessment is found to be wrong, we issue a superseding certificate that states the correction. The original remains verifiable rather than being withdrawn, because an attestation that can be silently deleted is not an attestation. You will be notified before a superseding certificate is published.

Reviewer independence

No fee arrangement is contingent on a particular assessment outcome. A reviewer will not sign an assessment the evidence does not support; where that occurs the engagement concludes with the finding stated, and fees are handled as the order provides. This is a structural commitment rather than a courtesy, and it is the reason a certificate is worth anything to your counterparty.

Fees

Fees are set per order against the published rate card in effect at the time of the order. Platform subscription terms, including seat entitlements for advisory plans, are set in the order.

Confidentiality

Each party protects the other's confidential information with at least reasonable care and uses it only for the purposes of the agreement. Foster Rx does not name a customer publicly without written permission; case-study rights over their own engagement rest with the customer.

Warranties and liability

We warrant that services are performed in a professional and workmanlike manner in accordance with the stated methodology. Assessments are analytical work product and not legal, investment or regulatory advice. Liability caps, exclusions and indemnities are set in the executed agreement.

Term and termination

Terms, renewal and termination rights are set in the order. Certificates already issued remain verifiable after termination; that is a property of the artifact rather than a service we could withdraw.

Governing law

The agreement is governed by the laws of the State of Delaware, with exclusive jurisdiction in the state and federal courts located in Delaware.
